These Terms of Service ("Terms") constitute a legally binding agreement between you and Global Medical Virtual Assistants, LLC, doing business as HealthSystemVAs ("Company," "we," "us," or "our"), governing your access to and use of our website at www.healthsystemvas.com and our virtual assistant services.
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or services.
HealthSystemVAs provides healthcare-focused virtual assistant staffing services to physical therapy, chiropractic, and related medical clinics. Our services include but are not limited to:
Specific services, deliverables, and terms are outlined in individual service agreements signed between HealthSystemVAs and each client.
Our services are intended for healthcare clinic owners, operators, and authorized business representatives. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of your clinic or organization.
HealthSystemVAs operates on a month-to-month basis with no long-term contracts required. Either party may terminate services with written notice as specified in the individual service agreement. We reserve the right to modify service terms with reasonable advance notice.
If a placed virtual assistant does not meet performance expectations, HealthSystemVAs will recruit and place a replacement VA at no additional cost to the client, subject to the conditions outlined in the individual service agreement. This guarantee applies to performance issues and does not cover terminations due to client-side changes unrelated to VA performance.
As a client of HealthSystemVAs, you agree to:
Clients who share Protected Health Information (PHI) with HealthSystemVAs or its virtual assistants must execute a Business Associate Agreement (BAA) prior to service commencement. HealthSystemVAs and its VAs will handle PHI in accordance with HIPAA regulations and the terms of the BAA.
HealthSystemVAs implements appropriate safeguards to protect sensitive information but cannot guarantee absolute security of data transmitted over the internet.
Service fees are outlined in individual service agreements. Payment is due as specified in the agreement. Late payments may result in service suspension. All fees are in US Dollars unless otherwise specified.
HealthSystemVAs reserves the right to adjust pricing with reasonable advance notice. Continued use of services after a price change constitutes acceptance of the new pricing.
All content on our website, including text, graphics, logos, and images, is the property of HealthSystemVAs or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
To the fullest extent permitted by law, HealthSystemVAs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or data loss, arising from your use of our services or inability to use our services.
Our total liability to you for any claim arising from your use of our services shall not exceed the total fees paid by you to HealthSystemVAs in the three (3) months preceding the claim.
Our services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
You agree to indemnify, defend, and hold harmless HealthSystemVAs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.
Either party may terminate services by providing written notice as specified in the individual service agreement. HealthSystemVAs reserves the right to suspend or terminate your access to our website or services immediately, without prior notice, if you violate these Terms or engage in conduct we deem harmful to our business, staff, or other clients.
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Oregon, USA.
We reserve the right to update these Terms at any time. We will indicate the date of the most recent revision at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
